ASTRUM CORPORATION to Succeed the Overseas Stationery Business of PLUS Corporation in Vietnam and Taiwan Effective July 1, 2026

ASTRUM CORPORATION (Representative Director and President: Junichi Ishigaki, Headquarters: Chuo-ku, Tokyo) resolved at the Annual General Meeting of Shareholders held June 25, 2026 to succeed a part of the overseas stationery manufacturing and sales business of its parent company, PLUS Corporation (Representative Director and President: Tadahisa Imaizumi, Headquarters: Minato-ku, Tokyo, hereafter referred to as “PLUS”), through an absorption-type company split, issuing new shares as consideration for the transferred business.

This succession plan is to be implemented as part of the phased integration of the PLUS Group’s stationery business expected to continue through to 2028 as announced by PLUS and the Company on March 17, 2026.

Following this succession, two PLUS overseas affiliates in Vietnam and Taiwan will become consolidated subsidiaries of the Company, and will conduct business under the new framework moving forward.

Further, all equity interests held by PLUS in the overseas subsidiaries, PLUS VIETNAM INDUSTRIAL CO., LTD. and TAIWAN PLUS CORPORATION are to be succeeded through this absorption-type company split, with both companies becoming wholly owned subsidiaries of the Company as a result of this transaction.

Note that there are no plans to change the names of the two affected companies following this succession.

In support of a robust transition to becoming one of the world’s leading general stationery manufacturers, the PLUS Stationery Company, ASTRUM CORPORATION, Nippon Notebook Corporation, and other affiliated companies operating a stationery business within the PLUS Group will undertake a phased integration expected to continue until 2028. Additionally, another Group company, The Sailor Pen Co., Ltd., shall continue to operate as an independent, publicly listed company.
